Important. These Terms form a legally binding agreement between you and the entity operating RoveLogics. By creating an account, accessing the Platform, or using the Services, you agree to these Terms and acknowledge the Privacy Policy. If you use RoveLogics on behalf of a business or organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
Solo and Team are paid subscriptions. A limited Free tier is available; optional Insider Program access is offered only through an approved application and never automatically converts to paid billing.

1. Platform and Scope of Services

RoveLogics provides software tools designed to support mobile and location-based service businesses, including scheduling, booking, route optimization, customer management, communications, website tools, payment integrations, mileage tracking, reporting, and safety-related functionality.

RoveLogics is a technology provider, not a party to transactions between service providers and their customers. We do not employ, supervise, license, credential, insure, or independently verify the qualifications of service providers unless expressly stated otherwise.

Service providers are solely responsible for their professional services, licensing, insurance, regulatory compliance, pricing, service agreements, taxes, and customer relationships. Nothing in these Terms creates an employment, partnership, franchise, agency, or joint-venture relationship between RoveLogics and any service provider.

2. Eligibility and Account Registration

The account owner for a business account must be at least 18 years old and legally capable of entering a binding agreement. An adult parent or guardian may own and manage an account for a business in which a minor provides services, but the minor may not be the RoveLogics account owner or use the adult owner's login credentials. The adult account owner remains responsible for the account, the business relationship with RoveLogics, and compliance with applicable laws. You agree to provide accurate, complete, and current registration information and update it when it changes.

You are responsible for safeguarding credentials and managing authorized account access. You may not sell accounts, impersonate another person or business, share credentials to circumvent subscription restrictions, or give unauthorized third parties access to protected information.

You must promptly notify RoveLogics of suspected unauthorized account access. We may require email, phone, or additional identity verification when appropriate for security or fraud prevention and may restrict or suspend accounts when reasonably necessary to investigate fraud, serious policy violations, unlawful activity, or security incidents.

3. Acceptable Use and Prohibited Conduct

You agree not to use the Platform to:

  • Engage in fraud, harassment, unlawful discrimination, stalking, threats, exploitation, trafficking, commercial sexual activity, sexual-services solicitation, or other unlawful or prohibited conduct.
  • Advertise, arrange, facilitate, or disguise sexual or erotic services through a business profile, service listing, booking flow, message, image, or other Platform feature.
  • Post explicit nudity, pornography, fetish or erotic content, sexually suggestive promotional imagery, sexualized posing, or other public content reasonably likely to be understood as advertising sexual services.
  • Misrepresent a professional license, regulated credential, identity, business status, or authorization.
  • Submit knowingly false, misleading, malicious, or retaliatory safety reports.
  • Access, scrape, copy, extract, or interfere with another user's data without authorization.
  • Introduce malware, disrupt infrastructure, probe vulnerabilities without authorization, or circumvent security measures.
  • Reverse engineer protected software except where applicable law expressly permits.
  • Resell or commercially exploit Platform functionality without written authorization.
  • Upload data you lack authority or a lawful basis to collect, disclose, or process.
  • Use automation in ways that materially impair service performance or violate documented restrictions.
  • Circumvent usage limits, billing systems, suspensions, verification controls, or prior account restrictions.

RoveLogics may investigate suspected violations and take proportionate action, including warnings, requests for verification, feature restrictions, content removal, suspension, or termination. We may preserve relevant records when reasonably necessary to investigate misconduct, comply with law, or protect affected individuals.

3.1 Public profile and media standards

Public-facing profile content must have a reasonable connection to the provider's legitimate business, services, team, equipment, workspace, vehicle, work results, or professional identity. A professional headshot or provider portrait is permitted. RoveLogics may flag, limit, or remove casual selfies, unrelated lifestyle images, memes, promotional images unrelated to the listed business, or repeated media that does not meaningfully support the business profile.

Professional service imagery is not prohibited merely because ordinary skin is visible. For example, appropriately draped massage or bodywork imagery, beauty services, fitness services, and similar legitimate professional content may be allowed when presented in a nonsexual context. The restriction is based on the content and how it is presented, not a person's appearance.

3.2 Trust and compliance reviews

RoveLogics may conduct periodic account reviews and risk-triggered reviews to detect fraud, account evasion, materially false credential claims, prohibited services, exploitation, sexual-services activity, or unlawful use of the Platform. Reviews may use automated systems to analyze information reasonably relevant to Platform compliance, including account and business information, public-facing service content and images, verification information, and security or abuse signals.

Automated flags are investigative signals, not findings of wrongdoing. Except where immediate temporary action is reasonably necessary to prevent clearly prohibited public content from being displayed, address a serious security threat, imminent harm, or clearly unlawful technical abuse, RoveLogics does not ordinarily make permanent account-removal decisions solely from an automated compliance score. Material account enforcement decisions are subject to human review.

RoveLogics may request documentation reasonably necessary to verify identity, licensing, business authorization, or other representations made through the Platform.

4. Customer Data, Ownership, and Portability

Your business data belongs to you. As between RoveLogics and the business customer, the customer retains its rights in client records, appointments, business content, customer communications, and other information submitted to the Platform, subject to applicable rights of individuals and third parties.

You grant RoveLogics a limited, nonexclusive right to host, transmit, store, process, display, and otherwise use that data solely as reasonably necessary to provide, secure, support, maintain, and improve the Services as described in these Terms and the Privacy Policy.

RoveLogics does not sell personal data. We do not sell customer lists, booking information, contact information, location data, safety records, usage data, or other personal information to advertisers, data brokers, marketers, or other third parties. Information may transfer as part of a merger, acquisition, financing, reorganization, or sale of RoveLogics or substantially all relevant assets, subject to applicable privacy law and continuing contractual obligations.

Subject to technical limitations, applicable law, and legitimate security requirements, we will provide reasonable means for business customers to export supported records. Backups and limited records may be retained where necessary for legal compliance, security, fraud prevention, dispute resolution, or other purposes specifically described in the Privacy Policy.

5. Privacy, Confidentiality, and Security

RoveLogics will implement reasonable administrative, technical, and organizational safeguards appropriate to the nature of the information processed and the risks involved. We restrict access to nonpublic customer data to authorized personnel, service providers, and systems with a legitimate operational need.

Business customers are responsible for providing legally required privacy notices and obtaining permissions needed from their own customers. RoveLogics may use third-party infrastructure, communications, analytics, mapping, authentication, and payment providers subject to appropriate arrangements.

No electronic system is completely immune from unauthorized access or interruption. RoveLogics does not guarantee absolute security. We will respond to confirmed security incidents and provide legally required notifications in accordance with applicable law and contractual obligations.

Healthcare information: unless RoveLogics expressly authorizes a healthcare-specific deployment under appropriate contractual and technical safeguards, including any legally required business associate agreement, users must not enter protected health information subject to HIPAA or other specially regulated clinical records.

6. Scheduling, Routing, and Location Information

Scheduling and routing recommendations are informational tools intended to assist business operations. Estimated travel times, distances, arrival windows, route sequences, mileage calculations, and geographic information may be affected by traffic, closures, weather, device settings, mapping-provider limitations, or inaccurate information.

Users remain responsible for independent judgment, obeying traffic laws, and deciding whether a route or appointment is safe and practical. RoveLogics does not guarantee exact arrival times, travel distances, mileage deductions, or tax treatment. Mileage reports are business records and estimates, not tax advice or certification that a deduction qualifies under applicable law.

Location data is collected, used, and retained as described in the Privacy Policy and applicable permission settings. RoveLogics does not sell precise or approximate location information.

7. Safety Features and Incident Reporting

RoveLogics may provide tools to help service providers document concerning interactions, manage private booking restrictions, and make informed safety decisions. These are supplemental risk-management tools and do not guarantee personal safety, identity, customer conduct, or the accuracy of a user-submitted report.

7.1 Private safety records

At present, incident reports, private notes, and blocked-customer records are available only to the reporting business and authorized RoveLogics personnel with a legitimate operational need unless RoveLogics expressly announces otherwise. Creating a private report does not automatically place a person, address, phone number, email address, or other identifier into a cross-business warning system.

7.2 Submission of reports

Users submitting safety reports must have a good-faith basis for their statements, distinguish firsthand observations from assumptions or secondhand information, and must not submit knowingly false, retaliatory, discriminatory, exaggerated, or malicious reports.

7.3 Review and accuracy

RoveLogics may moderate, reject, remove, restrict, or correct reports when appropriate. A report does not establish that an individual committed a crime, violated a law, or poses a verified danger.

7.4 Future shared safety functionality

RoveLogics may develop cross-business safety functionality, but it will not be activated unless appropriate moderation, identity-matching, dispute, privacy, notice, and retention safeguards are in place. Any materially different use of existing safety information will be disclosed as required by law.

7.5 Safety & Trust Policy

Use of RoveLogics safety features is also governed by the Safety & Trust Policy, which is incorporated into these Terms for users of those features.

7.6 Emergencies

RoveLogics is not an emergency monitoring or dispatch service. Users in immediate danger should contact emergency services or appropriate local authorities.

8. Payments and Third-Party Processing

RoveLogics may enable service providers to connect third-party payment processors and accept customer payments. Unless expressly stated otherwise, payment transactions are processed by independent payment providers under their own terms.

Service providers are responsible for their own pricing, taxes, refunds, cancellations, chargebacks, disputes, and compliance with payment-processing requirements. RoveLogics does not become the seller or provider of the underlying service solely by facilitating a transaction and is not responsible for payment-provider account freezes, underwriting decisions, processing outages, or chargebacks outside our reasonable control.

Any Platform fees, transaction-related charges, or other amounts payable to RoveLogics will be disclosed before they are incurred.

9. Subscriptions, Renewals, and Cancellation

Subscription plans, included features, active-provider limits, usage allowances, trial periods, and charges will be disclosed during enrollment or purchase. Where a subscription renews automatically, RoveLogics will disclose renewal frequency, recurring price, cancellation method, and other information required by applicable law before obtaining consent.

Monthly or annual Solo and Team prices, and any charges for additional active providers or optional services, are disclosed before checkout. No custom domain registration or credit is included with an annual plan unless separately stated in a written offer.

You may cancel through available account controls or another disclosed channel. Cancellation stops future renewals in accordance with the disclosed billing terms and applicable law; access may continue until the end of the paid period. Unless otherwise disclosed or required by law, previously incurred charges are nonrefundable.

We will provide advance notice of material subscription price changes and obtain additional consent where required. Failure to pay may result in suspension or loss of paid features following any legally required notice or cure period.

10. Intellectual Property

RoveLogics and its licensors retain all rights in the Platform, including software, source code, interfaces, designs, trademarks, logos, documentation, proprietary algorithms, and related intellectual property. Subject to compliance with these Terms, RoveLogics grants the account holder a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Services and any RoveLogics mobile or web application solely for the account holder's authorized business purposes during the period the account is permitted to use the Services. No ownership interest in the Platform or RoveLogics software is transferred.

Users may not copy, distribute, sell, rent, lease, sublicense, reverse engineer, circumvent access controls for, or create derivative works from protected portions of the Platform except to the extent such restriction is prohibited by applicable law.

Users retain ownership of their original business content. Feedback and product suggestions may be used to develop or improve RoveLogics without compensation, provided this does not transfer ownership of confidential customer data or override applicable privacy obligations.

11. Third-Party Integrations

The Platform may connect to external calendars, accounting systems, mapping systems, payment processors, communications providers, authentication services, and hosting infrastructure. Third-party services may be subject to separate agreements, privacy policies, technical requirements, and availability limitations.

When a user authorizes an integration such as QuickBooks Online, the user authorizes RoveLogics to access and exchange only the data and permissions reasonably necessary to provide the selected integration features. The user may disconnect supported integrations through RoveLogics or the applicable third-party service. After revocation, RoveLogics will stop future access through the revoked authorization and handle previously synchronized information as described in the Privacy Policy and applicable law.

RoveLogics is not responsible for independent third-party conduct or failures beyond its reasonable control, while remaining responsible for obligations imposed on RoveLogics by applicable law and its own contractual commitments. We may modify or discontinue integrations when necessary due to security concerns, provider restrictions, discontinued APIs, or material operational changes.

12. Insider Program Participation

The optional RoveLogics Insider Program is application-based and subject to individual selection. An application does not guarantee admission or premium access. Approved members may receive up to 90 days of complimentary Solo or Team access beginning on activation, subject to the approved plan and written invitation terms.

Participants are asked for practical feedback during the program, including approximately monthly check-ins and a final evaluation. Feedback is not required to be positive. After staff reviews participation, qualifying members may receive a one-time 25% discount on the base price of their first paid annual Solo or Team subscription, subject to the published offer terms. The discount does not apply to recurring renewals or separately charged third-party services or additional Team seats.

Complimentary access does not automatically convert into a paid subscription. Paid enrollment requires an affirmative checkout decision. On expiry, features requiring a paid subscription may cease; supported export and cancellation options remain available. RoveLogics may close applications or decline participants for legitimate operational reasons.

Existing invitations granted under earlier terms will be handled individually and receive applicable advance notice before material access or pricing changes. Nothing in this section eliminates rights or remedies that cannot lawfully be waived.

13. Suspension and Termination

Users may terminate accounts through the provided cancellation or account-closure process. RoveLogics may suspend or terminate access for material violations, unlawful conduct, security threats, fraudulent activity, or failure to pay applicable charges.

Where reasonably practicable, we will provide notice and an opportunity to remedy violations before termination. Immediate action may be taken when necessary to prevent serious harm, unlawful activity, security compromise, or material interference with the Services.

Following termination, data export and deletion are governed by the Privacy Policy, applicable retention obligations, and any specifically disclosed post-termination access period.

14. Disclaimers and Warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as available" basis. RoveLogics does not warrant uninterrupted operation, error-free service, compatibility with every device or third-party system, or suitability for every business requirement.

We do not guarantee business revenue, client bookings, service outcomes, customer conduct, routing accuracy, or regulatory compliance by users. These disclaimers do not exclude express commitments in an applicable service agreement or protections that cannot legally be disclaimed.

15. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or lost profits or business opportunities, arising from the Services, even if advised of the possibility of such damages.

Subject to the exceptions below, RoveLogics' aggregate liability arising out of or relating to the Services will not exceed the greater of (a) amounts paid or payable by the affected business customer to RoveLogics during the twelve months before the event giving rise to the claim, or (b) US $100.

This limitation does not apply to liability that cannot legally be limited, including fraud, willful misconduct, or other excluded conduct under applicable law. Any additional exclusions or higher caps must be expressly established in an applicable agreement.

16. Indemnification

To the extent permitted by applicable law, business customers agree to defend, indemnify, and hold harmless RoveLogics and its officers, employees, and representatives against third-party claims, damages, and reasonable expenses arising from their provision of professional or commercial services, unlawful conduct or material breach of these Terms, content submitted without required rights or authority, or material violation of licensing, consumer-protection, privacy, or professional obligations.

This obligation does not apply to the extent a claim results from RoveLogics' own negligence, misconduct, or breach. RoveLogics will provide reasonably prompt notice of covered claims and reasonable cooperation in their defense.

17. Disputes and Governing Law

These Terms are governed by the laws of Oregon, without regard to conflict-of-law rules, except where mandatory consumer-protection law requires otherwise. Before formal proceedings, the parties agree to attempt in good faith to resolve disputes through written notice and reasonable informal discussions for 30 days, unless urgent relief is necessary.

Unless the parties agree otherwise or applicable law requires a different forum, disputes will be brought before courts of competent jurisdiction in Oregon. Nothing prevents either party from seeking urgent injunctive relief or exercising rights that cannot lawfully be restricted.

18. Changes to Terms and Services

RoveLogics may update these Terms to reflect changes in law, security requirements, product functionality, or business operations. For material changes, we will provide reasonable advance notice through email, account notifications, or other appropriate channels.

Where applicable law requires affirmative consent, changes will not become binding without that consent. Changes will not retroactively eliminate accrued rights or remedies. If you disagree with revised Terms, you may discontinue use and cancel your account.

19. General Provisions

Severability: if a provision is unenforceable, the remainder remains effective to the extent legally permitted.

No waiver: failure to enforce a provision does not waive future enforcement.

Force majeure: neither party is responsible for delay or failure caused by circumstances beyond reasonable control, except accrued payment obligations and obligations the law does not excuse.

Assignment: users may not assign contractual rights without consent except where law permits. RoveLogics may assign this agreement in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets, subject to applicable privacy and contractual obligations.

Entire agreement: these Terms, the Privacy Policy, applicable order terms, and expressly incorporated agreements constitute the agreement governing the Services.

Survival: provisions concerning intellectual property, accrued payments, confidentiality, liability, indemnification, disputes, and other obligations intended to survive remain effective after termination.

20. Contact and Legal Notices

Legal notices, account concerns, and other formal questions may be submitted through the RoveLogics support or legal-contact channels made available through the Platform. Privacy-related requests may also be submitted through the procedures described in the Privacy Policy.

Insider Program notice: Eligibility, complimentary access, feedback expectations, and advance-notice commitments are described in Section 12.
